1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the website located at ericsaves.com (the "Site"), operated by Eric ("Eric," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

2. Description of the Site

The Site is an informational marketing website that describes Eric's expense reduction services and provides ways to request an estimate or contact our team. The authenticated product — including the savings estimator, client portal, and administrative tools — is available at app.ericsaves.com and is governed by a separate Master Services Agreement provided during onboarding. These Terms do not create any engagement, relationship, or obligation to provide services.

3. Eligibility

You must be at least 18 years old and able to form a binding contract under applicable law to use the Site. By using the Site on behalf of an organization, you represent that you are authorized to do so.

4. Acceptable Use

You agree not to:

• Use the Site in violation of any applicable law or regulation.
• Attempt to gain unauthorized access to any portion of the Site, related systems, or other users' accounts.
• Probe, scan, or test the vulnerability of the Site, or breach any security or authentication measures.
• Interfere with or disrupt the Site, including by sending excessive requests or introducing malware.
• Scrape, harvest, or use automated means to extract data from the Site except as expressly permitted.
• Submit information through forms that you know to be false, misleading, or that infringes the rights of others.

5. Intellectual Property

The Site and its content — including text, graphics, logos, the "Eric" name and mark, design elements, and software — are owned by Eric or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your internal evaluation of our services. All other rights are reserved.

6. Estimates & Forward-Looking Statements

Any savings ranges, percentages, sample figures, or projections shown on the Site are illustrative only. They are based on aggregated experience across categories and do not constitute a guarantee of results in any individual engagement. Actual savings depend on your vendors, contracts, spend profile, and other factors. A binding scope and pricing are established only in a written agreement signed by both parties.

7. Third-Party Links and Services

The Site may link to third-party websites or services that we do not control. We are not responsible for the content, privacy practices, or availability of any third-party site, and your use of those sites is subject to their own terms.

8. Disclaimers

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, ERIC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. ERIC DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL ERIC OR ITS OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, WHETHER BASED IN CONTRACT, TORT, STATUTE, OR OTHERWISE, EVEN IF ERIC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ERIC'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

10. Indemnification

You agree to indemnify, defend, and hold harmless Eric and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any rights of a third party.

11. Governing Law & Disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Florida, and you consent to personal jurisdiction and venue there.

12. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent revision. Your continued use of the Site after changes take effect constitutes your acceptance of the revised Terms.
